Introduction and Acceptance of Terms

These Terms and Conditions (“Agreement”) govern your access to and use of the Virtual Assistant services provided by Remote Task Squad Canada (“Remote Task Squad,” “we,” “us,” or “our”) and our Virtual Assistants (“VA”). By subscribing to, accessing, or using our Services, you (“Client” or “you”) agree to be bound by this Agreement. If you do not agree to these Terms, you may not use the Services.

Definitions

Services: The administrative, operational, and specialized support tasks performed remotely by a VA, as detailed in the service package selected by the Client.

Virtual Assistant (VA): The remote worker sourced and provided by Remote Task Squad to perform the Services for the Client. The VA operates as an independent contractor or external agent to Remote Task Squad.

Work Product: Any materials, data, documents, or analyses created, developed, or provided by the VA specifically for the Client under this Agreement.

Fees: The recurring amounts charged to the Client for the provision of the Services.

Service Agreement and Scope

Service Provision: Remote Task Squad agrees to use commercially reasonable efforts to match the Client with a VA whose skills meet the requested service profile. While Remote Task Squad facilitates the match, the successful execution of tasks is dependent on the clarity of instructions provided by the Client.

VA Status: The VA is not an employee, partner, or agent of the Client. The VA operates as an independent service provider. The Client is responsible for defining tasks and priorities; Remote Task Squad is responsible for the overall management and replacement (if necessary) of the VA.

Scope Limitations: The Services provided by Remote Task Squad and its VAs are administrative and operational in nature. The Client acknowledges that VAs cannot provide licensed or regulated services, including, but not limited to, legal advice, financial advice, regulated accounting, or medical consultation.

Client Obligations and Responsibilities

Clear Instructions: The Client must provide clear, complete, and timely instructions for all tasks assigned to the VA. Remote Task Squad is not liable for errors or delays resulting from vague, conflicting, or late instructions.

System Access: The Client is responsible for providing secure and necessary access credentials (subject to Section 6.2) for the VA to perform the Services. The Client agrees to restrict access to only the minimum systems required for the VA’s duties.

Security Protocols: The Client must adhere to all recommended security protocols when sharing sensitive data and access credentials with the VA.

Payment, Billing, and Fees

Fees: The Client agrees to pay the Fees corresponding to the chosen service package. Fees are billed on a recurring basis (e.g., monthly) as specified in the service agreement.

Billing Cycle: Billing is prepaid and occurs before the service period begins. Services will not commence until payment is processed and cleared.

Late Payments: Any unpaid balance after the due date will be subject to a late fee, and Remote Task Squad reserves the right to suspend or terminate the Services immediately until all outstanding amounts are paid in full.

Refunds: Except as explicitly required by law, all Fees paid to Remote Task Squad are non-refundable. Remote Task Squad does not offer refunds or credits for partially used subscription periods or unused VA hours.

Confidentiality and Data Protection

General Confidentiality: Both Remote Task Squad (including its VAs) and the Client agree to treat all non-public information received from the other party as confidential. Neither party shall disclose, use, or copy such information except as necessary for the performance of this Agreement.

Data Security and Privacy (PIPEDA): The handling of Personal Information is governed by the Remote Task Squad Canada Privacy Policy, which is incorporated by reference. The Client acknowledges that they are responsible for ensuring that any data shared with the VA adheres to the Client’s own privacy obligations. The Client agrees that Remote Task Squad is a data processor and the Client remains the data controller.

Non-Disclosure: Remote Task Squad will ensure that VAs execute appropriate confidentiality agreements to protect the Client’s business information and trade secrets.

Intellectual Property (IP)

Ownership of Work Product: The Client shall own all rights, title, and interest, including all IP rights (copyrights, trademarks, etc.), in the Work Product created specifically for the Client by the VA under this Agreement. The VA hereby assigns all such rights to the Client.

Remote Task Squad IP: Notwithstanding Section 7.1, Remote Task Squad and its VAs retain all rights to the methods, processes, know-how, and proprietary software tools used by the VA in providing the Services, which shall remain the exclusive property of Remote Task Squad.

Term and Termination

Term: This Agreement remains in effect for the term specified in the chosen service package, automatically renewing unless either party provides written notice of non-renewal as specified in the service agreement.

Termination by Client: The Client may terminate this Agreement by providing written notice according to the terms of their specific service package (e.g., 30 days’ notice prior to the next billing date). No refunds will be provided for unused time (see Section 5.4).

Termination by Remote Task Squad: Remote Task Squad may terminate this Agreement immediately and without prior notice if the Client breaches any term of this Agreement (especially non-payment or confidentiality breach), or if the VA-Client relationship is deemed unproductive or unsafe by Remote Task Squad.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REMOTE TASK SQUAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING ANY VA.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF REMOTE TASK SQUAD EXCEED THE AMOUNT OF FEES PAID BY THE CLIENT TO REMOTE TASK SQUAD DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Dispute Resolution: Any dispute arising out of or relating to this Agreement shall first be resolved through good faith negotiation. If negotiation fails, the parties agree to seek mediation in Toronto, Ontario, before resorting to binding arbitration or litigation. The parties irrevocably submit to the exclusive jurisdiction of the courts of Ontario.

General Provisions

This Agreement constitutes the entire agreement between the Client and Remote Task Squad concerning the Services. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
